Wholesale Terms and Conditions

1. Introduction
1.1. These Terms and Conditions apply to all wholesale transactions between Sprinkled with Magic (a trading name of Newton & Stockley Enterprises Limited)("we", "us", "our") and business customers ("you", "your").
1.2. By placing an order with us, you confirm that you are purchasing as a business, retailer, or trade customer and not as a consumer.
1.3. These terms apply exclusively to business-to-business transactions and do not affect consumer rights under UK law.
2. Account Registration
2.1. To access wholesale pricing and place orders, you must register for a trade account and provide a valid business name, company registration number (if applicable), and VAT number (if registered).
2.2. We reserve the right to approve, decline, or revoke trade accounts at our discretion.
2.3. By registering, you confirm that all information provided is accurate and up to date.
3. Orders & Pricing
3.1. All prices are exclusive of VAT unless stated otherwise. VAT will be charged at the prevailing rate where applicable.
3.2. Wholesale prices are subject to change without prior notice; however, confirmed orders will not be affected.
3.3. There is no minimum order value for wholesale purchases.
4. Payment Terms
4.1. Payment must be made in full before dispatch unless otherwise agreed in writing.
4.2. We accept payment via BACS, credit/debit card, and PayPal (fees may apply for certain payment methods).
4.3. For approved credit accounts, invoices must be settled within 30 days from the invoice date. Late payments may incur interest charges of 8% above the Bank of England base rate, plus administrative costs. Credit terms are only offered for accounts spending over £25,000 a year.
4.4. We reserve the right to withdraw credit terms or withhold further orders if outstanding invoices remain unpaid.
5. Delivery & Risk
5.1. Orders are dispatched using couriers or palletised delivery depending on order size.
5.2. Estimated delivery times are:
- UK Mainland: Up to 10 working days
- Non-Mainland UK & International: Varies – please enquire.
5.3. Delivery times are estimates only and we are not responsible for delays caused by couriers or external factors.
5.4. Risk of goods passes to you upon delivery. Ownership remains with us until full payment is received.
5.5. It is your responsibility to check goods upon delivery. Any shortages or damages must be reported to us within 5 days with photographic evidence.
6. Returns & Cancellations
6.1. Wholesale orders are non-refundable and non-returnable, except where goods are faulty or incorrect upon delivery.
6.2. Faulty or incorrect items must be reported within 5 days of receipt. We may request images and, where necessary, the return of goods for inspection before issuing a replacement or credit.
6.3. Returns must be authorised by us in writing before they are sent back.
6.4. Orders cannot be cancelled once confirmed, unless agreed in writing. Special/custom orders are strictly non-cancellable.
7. Product & Branding Policy
7.1. Our products must not be rebranded, modified, or misrepresented as another brand’s goods.
7.2. The resale of our products on third-party platforms (e.g. Amazon, eBay, Etsy) is strictly prohibited unless authorised in writing.
8. Intellectual Property
8.1. All designs, product names, logos, images, and branding remain the exclusive property of Sprinkled with Magic.
8.2. You are granted a non-exclusive, revocable license to use product images and descriptions for promotional purposes but may not alter them in any way.
9. Liability & Force Majeure
9.1. We are not liable for any indirect, incidental, or consequential losses arising from your use of our products.
9.2. In the event of a force majeure (e.g. natural disaster, pandemic, supply chain disruption, government restrictions), we are not liable for delays or non-performance of contractual obligations.
10. Termination of Trade Account
10.1. We reserve the right to terminate or suspend your trade account at any time if:
- You fail to comply with these terms
- Payment obligations are not met
- There is evidence of resale against our policies
10.2. Any outstanding payments remain due upon termination.
11. Governing Law & Jurisdiction
11.1. These Terms and Conditions are governed by the laws of England & Wales.
11.2. Any disputes shall be resolved exclusively in the courts of England & Wales.
